Terms & Conditions.
These Terms govern all application services, sales, and shipments provided by The Bradley Group of Companies and its three operating entities. By placing an order or accepting a shipment from any Bradley entity, you accept these Terms in full.

These Terms and Conditions (“Terms”) govern the application services, sales, and shipments provided by The Bradley Group of Companies, comprising the three operating entities below (each, individually and collectively, “Bradley”).
Operating Entities
By placing an order with, or accepting shipments from, any of the following entities, you accept these Terms in full:
- Bradley Coating, Inc. — pre-applied thread adhesives, sealants, and fastener coating services
- Bradley Adhesive Applications, Inc. — specialty adhesive application services
- Bradley Technologies, Inc. — engineering, R&D, and proprietary chemistries
1. Scope of Services
Bradley provides application services only. Bradley applies pre-applied thread adhesives, sealants, thread masking, and product identification coatings to fasteners and parts supplied by the Customer. Bradley does not manufacture or sell fasteners.
2. Quotations & Acceptance
Quotations issued by Bradley are valid for thirty (30) days from the date of issuance unless otherwise stated in writing. An order is binding upon Bradley’s written acknowledgment of the Customer’s purchase order. All orders are subject to acceptance at Bradley’s St. Charles, IL facility.
3. Pricing
Prices are quoted in U.S. dollars and are exclusive of any federal, state, or local taxes, duties, customs, or freight charges, which are the Customer’s responsibility unless expressly included in the quotation.
4. Payment Terms
Standard terms are Net 30 days from invoice date for approved-credit accounts. Past-due balances accrue a service charge of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower. Bradley reserves the right to require advance payment or other security at any time.
5. Customer-Supplied Parts
The Customer is responsible for delivering parts to Bradley’s facility in clean, dry, and rust-free condition, free of oil, grease, plating defects, or other contamination that may interfere with the coating process. Bradley reserves the right to inspect parts upon receipt and to reject or charge for additional cleaning of parts that do not meet these requirements.
6. Shipping & Risk of Loss
All shipments are F.O.B. Bradley’s facility, St. Charles, Illinois. Title and risk of loss pass to the Customer upon Bradley’s delivery to the carrier. Customer is responsible for selection of carrier, insurance, and freight charges (both inbound and outbound) unless otherwise agreed in writing.
7. Inspection & Acceptance
Customer must inspect goods within fifteen (15) days of receipt and notify Bradley in writing of any defect, shortage, or non-conformance. Failure to provide timely written notice constitutes acceptance and waiver of any claim. No goods may be returned without prior written authorization (RMA) from Bradley.
8. Warranty
Bradley warrants that the services performed will conform to the specifications agreed in writing for a period of ninety (90) days from the date of shipment. Bradley’s sole obligation under this warranty is, at Bradley’s option, to (a) re-perform the non-conforming services or (b) refund the price paid for the non-conforming services.
THE FOREGOING WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
9. Limitation of Liability
In no event shall Bradley be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost production, lost data, or recall expenses, even if advised of the possibility of such damages. Bradley’s aggregate liability arising from or relating to any order shall not exceed the amount paid by Customer to Bradley for the specific services giving rise to the claim.
10. Indemnification
Customer agrees to indemnify, defend, and hold harmless Bradley, its officers, employees, and affiliates from and against any and all claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of (a) Customer’s specifications or designs, (b) Customer’s use or resale of the coated parts, or (c) Customer’s breach of these Terms.
11. Intellectual Property
All proprietary chemistries, application methods, process know-how, and documentation developed by or licensed to Bradley remain the sole property of Bradley Technologies, Inc. and its licensors. No license is granted to the Customer except as expressly stated in writing.
12. Force Majeure
Bradley shall not be liable for any delay or failure to perform caused by events beyond its reasonable control, including but not limited to acts of God, fire, flood, labor disputes, supplier delays, transportation interruptions, governmental action, pandemics, or shortages of raw materials.
13. Quality & Documentation
Bradley operates under an ISO 9001:2015 certified quality system. Standard material and mechanical test certifications are commonly issued with each shipment. PPAP packages (Level 3) are available upon request and may be subject to additional charges.
14. Confidentiality
Each party shall hold the other party’s confidential information (including specifications, drawings, pricing, and process know-how) in strict confidence and shall not disclose it to any third party except as required by law or as needed to perform under these Terms.
15. Governing Law & Venue
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising hereunder shall be the state or federal courts located in Kane County, Illinois. The parties waive any right to a jury trial.
16. Entire Agreement
These Terms, together with the applicable quotation and order acknowledgment, constitute the entire agreement between the parties and supersede all prior agreements, understandings, or representations, whether written or oral. Any conflicting or additional terms in Customer’s purchase order or other documents are expressly rejected.

Last updated: 2026. These Terms may be revised from time to time at Bradley’s discretion. The version in effect at the time an order is accepted shall govern that order.
